Legal Basis of Appointment

Dato’ Zulkiflee Abbas Abdul Hamid, who currently serves as Commissioner of the Company, is proposed to be appointed as President Commissioner of the Company for term office effective as of the closing of Annual General Meeting of Shareholders (AGMS) on April 17, 2026 and upon obtaining approval from the Financial Services Authority (Otoritas Jasa Keuangan/OJK), until the closing of the Company’s AGMS to be held in 2029. During the period in which approval from the Financial Services Authority has not yet been obtained, Dato’ Zulkiflee Abbas Abdul Hamid shall remain as Commissioner of the Company. In the event that his appointment as President Commissioner of the Company is not approved by the Financial Services Authority, Dato’ Zulkiflee Abbas Abdul Hamid will continue to serve as Commissioner of the Company for term of office consistent with his intended appointment as President Commissioner, namely until the closing of the Company’s AGMS to be held in 2029.

Dato’ Zulkiflee Abbas Abdul Hamid shall continue to perform his duties and exercise his authority as Commissioner of the Company until approval is obtained from the Financial Services Authority (Otoritas Jasa Keuangan) for his appointment as President Commissioner of the Company.
